Notice of Annual General Meeting
for year ended 31 December 2020
Riding for the Disabled Association Manawatu Group (Inc) - known as Manawatu RDA
advises its members that its AGM will be held at 248 Awahuri Feilding Rd on 30 April 2021, commencing at 7:00pm.
  Agenda

  1.    Open meeting and welcome
  2.    Apologies
  3.    Approve minutes of last AGM
  4.    President's report
  5.    Financial report
  5a.  Reviewer
Resolution: "Pursuant to Rule 13, that Pinny & Associates be confirmed to continue in their role as Reviewer of the Financial Report."
  6.  Elections
Under the current Constitution, there are only two positions, other than the review, that come up for election by members. These are the Patron and the Solicitor.
The current Patron is Ian McKelvie who has agreed to continue in that role so no action is required.
The current Solicitor is Bruce Stewart who has also agreed do continue, however the Constitution requires a confirmation vote.
Resolution: "That pursuant to Rule 14, Bruce Stewart be re-elected to the role of Solicitor."
  7a.  Entity name
Although we refer to ourselves as "Manawatu RDA", our full legal name is Riding for the Disabled Association Manawatu Group (Inc).  As part of us adopting a new Constitution, our legal name would be changed to Manawatu Riding for the Disabled Association (Inc).
7b.  Adoption of a new Constitution
The current Constitution dates back to the inception of Manawatu RDA in 1981. It has had only minor changes since then, getting to the point that it is no longer fit for purpose.
Background
A condition of being affiliated to NZ RDA is that the Constitution has to be approved by the NZ Board.  The draft that is being circulated to members was approved on March 26.
Our existing Constitution has provision for there to be up to 20 Committee members, with further provision to co-opt non-voting members.  All of the positions must be appointed by the existing committee with no provision for any member input (ie by way of elections).
This anomaly is just one of the many reasons NZ RDA has required us to adopt a new Constitution, details of which have been circulated.
This new Constitution is based largely on a template provided by NZ RDA.
    Key provisions
While the power to fill casual vacancies on the Committee still exists, it is only until the next AGM at which those appointees, if they wish to continue, will need to submit themselves to election.
At our next AGM members will vote on the maximum number of Committee members within the range of five to eight. It is the intention of the current Committee to not exceed eight members over the forthcoming year.
In support of the above, there will be a nomination process and all nominees must be members of the Association.
    Committee recommendation
After careful consideration, the committee is recommending that the name change be agreed and the new Constitution as circulated, be adopted.
Resolution: "That the name of the association be changed to Manawatu Riding for the Disabled Association (Inc) and that the Constitution as circulated be hereby adopted."
  8.  Any other business
There will be light refreshments at the conclusion of the meeting.
